Terms of Use

Basis of agreement

• These terms and conditions of use (the “Terms of Use”) are a contract between you (the “User”) and IiAS.
• The scope of this Terms of Use is to govern the User’s use of IiAS Adrian. 
• Agreeing to the Terms of Use is a condition to use IiAS Adrian. If as a User you do not understand or agree to be bound by the Terms of Use, IiAS Adrian should not be accessed in any manner by you. 
• By clicking to accept and agree to the Terms of Use, you represent, warrant and covenant that you: (a) are at least eighteen (18) years old; (b) have read and understood the Terms of Use and signify your agreement to the Terms of Use and to be bound by them from the date on which you click to accept these Terms of Use; and (c) to be bound by all applicable laws and conditions.
• IiAS reserves the right, at its sole discretion, to change, modify, add or remove these Terms of Use or any portion thereof at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of IiAS Adrian following the posting of changes will mean that you accept and agree to the changes.

Intellectual property and Scope of use

• IiAS Adrian and the information accessed from IiAS Adrian, including but not limited to, information, data, materials, content, text, graphics, brands, logos and webpage layout (collectively, the “Data”) is proprietary and is protected by trademark and copyright laws and other applicable laws in India as well as international copyright treaties, unless such information is available otherwise in the public domain. It is clarified that for the purpose of this Terms of Use, Data includes notices of voting events; IiAS voting recommendations; voting outcomes and investor voting data that is available to the UserviaIiAS Adrian.
• The Data may be subject to third party rights. IiAS Adrian and the Data may contain hyper-links to third-party websites. These links are provided for information and convenience of the User only. Mere presence of the link or its listing should not be assumed as endorsement of any kind. IiAS has no control over the content in the linked sites or the information, data, materials, content, text, graphics, brands, logos, goods, services and webpage layout available or contained in these linked sites. Further, IiAS does not guarantee that these links will work or be available all the time.
• As a User, you agree to abide by all applicable intellectual property and other laws in connection with the Data.
• You acknowledge and agree that IiAS owns all intellectual property rights and other rights, title and interest available under applicable laws in: (a) IiAS Adrian and the Data; and (b) any derivative works or improvements or enhancements to any of the foregoing created or developed by or on behalf of IiAS, other than as specified otherwise or is available in the public domain.
• This Terms of Use does not constitute a license of trade names/service marks, copyrights or other intellectual property, unless otherwise specified in this Terms of Use. 
• Unless otherwise agreed expressly in writing with IiAS, as the User you shall not use the Data or the trademarks of IiAS to create an impression that such trademarks or Data belong to or are identified with you or that you are affiliated to IiAS in any manner.
• Users shall contact IiAS if they wish to cancel their subscription.

Restrictions of use

• You shall have a single-use, non-exclusive, non-transferable, non-assignable license to receive and use the Data providedviaIiAS Adrian.
• You shall only be permitted to use, view or download the Data from IiAS Adrian for your personal or internal business use, as the case may be. You are permitted to access IiAS Adrian from a single device. 
• You are permitted to share the Data only to your authorized personnel strictly on a need to know basis and such personnel shall be deemed to have agreed and to be bound to the Terms of Use. 
• You shall not copy, reproduce, transmit, disseminate, distribute, forward, transfer, sell, lease, sub-license, furnish or otherwise permit or provide access to the Data or IiAS Adrian, unless such Data is available in the public domain, either wholly or in parts, or in any form, to any person, other than to your authorized personnel, without the prior written consent of IiAS. 
• You shall not create or attempt to create any derivative work using the Data accessed through IiAS Adrian.
• You shall not present or permit the presentation of the Data in any unfair, misleading or discriminatory manner or in any manner tamper the Data in a material way. 
• You shall prevent any un-authorized person from gaining access and/or distributing the Data. You shall maintain comprehensive and adequate security measures in line with global best practices to ensure that the Data which is provided to you through IiAS Adrian is not accessed by any un-authorized persons or misused or applied in any manner not envisaged under this Terms of Use.
• Any other use of the Data and IiAS Adrian, unless specifically permitted by the Terms of Use, is prohibited.

Privacy and Confidentiality

• You shall keep confidential the login credentials for IiAS Adrian as well as the Data that is accessed from IiAS Adrian and divulge the same only to your authorised personnel strictly on a need to know basis and bound with a professional obligation of confidentiality.

• You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify IiAS immediately of any unauthorized use of your account or password, or any other breach of security.
• IiAS’ Privacy Policy applies to user of IiAS Adrian, and its terms are made a part of this Terms of Use by reference. To view IiAS’ Privacy Policy,click here. 
• IiAS may collect information regarding traffic patterns, access and viewership of IiAS Adrian and the Data for the purpose of business and product development. 
• IiAS Adrian may use cookies for the purpose of enhancing viewership experience and future business development.
• IiAS shall keep confidential any personal data of the Users shared with IiAS for the purpose of accessing/subscribing/using IiAS Adrian. 
• Notwithstanding anything contained in this Terms of Use, IiAS reserves the right at all times to disclose any information that it has about the User (including their identity) that it deems necessary to comply with any applicable law, regulation, legal process or governmental request or in urgent circumstances, to protect public safety and IiAS Adrian. IiAS also may disclose your information when it determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

Warranties and disclaimers

• The Data is provided “as is” and without warranty of any kind other than as expressly provided under this Terms of Use. The views and opinions provided in the Data is that of IiAS alone and does not represent the views of any regulatory authority. IiAS does not warrant, guarantee or make any representations concerning the use, results of use or inability to use the Data in terms of timeliness, truthfulness, sequence, completeness, accuracy, reliability, performance or otherwise. IiAS does not warrant that the Data will be uninterrupted or free of any error, omission, defect, shortcoming or limitation of any nature. 
• IiAS has the right to update the Data on IiAS Adrian from time to time, however it is under no obligation to update it. Further, IiAS has no obligation to provide Data in a timely manner.
• IiAS disclaims any and all responsibility for any loss/delay/latency in relation to the Data and/or consequent to reliance on the Data and/or any consequences, intended or unintended, arising from testing or use of the Data. IiAS does not warrant that the information shared through IiAS Adrian shall be free of all errors, or that the information will satisfy any intended purpose or requirement of the User or any other person. Nothing contained in the Data should be interpreted as an offer, contract, representation or warranty other than what has been expressly provided herein.
• IiAS does not warrant that it shall continue to disseminate, transfer or transmit information to the User  using the existing facilities or technologies presently governing the transmission of communication. While IiAS shall, in a timely manner, intimate any such change to the User, IiAS disclaims all responsibility and/or liability for any loss of information, transmission time, and/ or revenues which may occur to any User.
• It is clarified that the disclaimers made by IiAS in this Terms of Use applies to any damages, liability or injuries caused to the User, its affiliates or any third party, as a result of any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.
• IiAS reserves the right to do any of the following, at any time, without notice: (a) to modify, suspend or terminate operation of or access to IiAS Adrian, or any portion of it, for any reason; (b) to modify or change IiAS Adrian, or any portion of it, and any applicable policies or terms; and (c) to interrupt the operation of IiAS Adrian, or any portion it, for business reasons or as may be necessary to perform routine or non-routine maintenance, error correction or other changes.
• The Data provided through IiAS Adrian is not directed or intended for distribution to, or use by, any person or entity who is a citizen or resident of or located in any locality, state, country or other jurisdiction, where such distribution, publication, availability or use would be contrary to law, regulation or which would subject IiAS to any registration or licensing requirements within such jurisdiction. The use of IiAS Adrian in certain jurisdictions may be restricted by law, and the Users therein should inform themselves about and observe, any such restrictions.

Liability and Indemnity 

• The User shall be held liable for losses incurred by IiAS or any other User/ visitor to IiAS Adrian due to any breach of this Terms of Use, including in the event of un-authorised access (including in a scenario where someone else is using your Login ID, password or account as a result of your failing to keep your account information secure and confidential).
• You agree to indemnify and hold IiAS, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses including attorneys’ fees, made against IiAS by any third party due to or arising out of or in connection with your use of IiAS Adrian.
• You acknowledge that the Data provided through IiAS is unique and valuable to it. The breach of the Terms of Use including any proprietary information and/or intellectual property may result in immediate, material, immeasurable, continuing, grave and irreparable damage, harm, loss and injury to IiAS for which monetary damages alone may not be an adequate relief. Therefore, you agree that in the event of the breach or threatened breach of such provisions as aforesaid, IiAS will be entitled to seek specific performance or injunctive relief in addition to monetary damages.
• You further agree that IiAS will not be liable to you or to any third party for termination of your access to IiAS Adrian as a result of any violation of the Terms of Use.
• Neither IiAS nor its directors, officers, shareholders, employees or agents shall incur any liability for to any User, and any other person for any reason whatsoever including but not limited to errors, omissions, or other defects in the Data or any delays or interruptions, regardless of the cause, or for the results obtained from the use of any data derived from IiAS Adrian. In no event shall IiAS or any of its directors, officers, shareholders or employees be liable to any party for any direct, indirect, incidental, exemplary, compensatory, punitive, special or consequential damages, costs, expenses, legal fees, or losses (including, without limitation, lost income or lost profits and opportunity costs) in connection with any use of IiAS Adrian.

Miscellaneous

• If any of the provisions of these Terms of Use are held by any court, adjudication panel, tribunal or any competent authority to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect.
• Unless otherwise agreed with IiAS, the Terms of Use constitute the entire agreement between you and IiAS with regard to your use of IiAS Adrian, and any and all other written or oral agreements or understandings previously existing between you and IiAS with respect to such use are hereby superseded and cancelled.
• IiAS’ failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by IiAS of any provision or any right it has to enforce these Terms of Use, nor shall any course of conduct between IiAS and you or any other party be deemed to modify any provision of these Terms of Use.
• These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.
• This Terms of Use and all matters relating to access to or use of IiAS Adrian, including all disputes, shall be governed by and interpreted and construed in accordance with laws of India and the Courts in Mumbai shall have exclusive jurisdiction in respect of any matter, claim or dispute arising out of or in any way relating to the Terms of Use and all matters relating to access to or use of IiAS Adrian.
